2.1 These Terms of Service ("Terms") govern your access to and use of this entire Website. This includes, but is not limited to, all its content, functionality, services, features, tools, and any other elements provided to you, whether for information, entertainment, or any other purpose, and regardless of whether they are provided free of charge or accessed through other means, or automated means such as web crawlers, bots, or scrapers. For clarity, "Interactive Services" refers to communication features we may make available on this Website, such as bulletin boards, forums, chat rooms, and support ticket systems.

2.2 While these Terms apply broadly, if you order or access specific services, products, or digital content from this Website, separate and specific terms and conditions will also apply. These will be presented to you on this website or during the purchase process. Furthermore, your use of any software purchased from this Website is subject to your agreement to the specific end user licence agreement (“EULA”) that accompanies such software. 4. Acceptable Use and Limited Licence to Use

4.3 We do not guarantee that this Website is suitable or available for use outside the United Kingdom. If you access the Website from other locations, you acknowledge you do so on your own initiative and are responsible for complying with local laws.

4.4 As a condition of using this Website, and interactive services. You agree not to use it, its content, or the Interactive Services for any of the following prohibited activities:

  • 4.4.11 Any manner that causes harm to minors.

4.5 We reserve the right to enforce these Terms at our sole discretion. We may restrict, suspend, or terminate your access to this Website if you fail to comply with these Terms or any applicable law.

4.6 We do not sell products for purchase by individuals under 18 years old, even if the product's intended use permits younger individuals. If you are under 18, you may only use this Website with the involvement of a parent or guardian. Individuals under 18 are expressly prohibited from using the Interactive Services or submitting Submissions on this Website.

5. Submitting information to this Website

5.1 For the purposes of this Section 5 and Section 6, a “Submission” refers to any content, information, or material you submit to our Website or Interactive Services, and any other communication you make to other users of our Website.

5.2 Our Policy on Creative Submissions: Qadop’s company policy is not to accept or consider unsolicited creative ideas, suggestions, or materials other than those we have specifically requested. This policy is in place to avoid potential misunderstandings or disputes should Qadop's independently developed projects or content resemble creative ideas submitted by users. Therefore, you must not include any original creative materials, including but not limited to scripts, story lines, fan fiction, characters, names, drawings, information, suggestions, ideas, or concepts, in your Submissions unless specifically requested by Qadop.

5.3 If, despite this policy, you choose to submit any such unrequested creative materials in your Submissions, you acknowledge and agree that, to the maximum extent permitted by applicable law: (a) Qadop shall be deemed the sole owner of such submitted materials, and all intellectual property rights therein, from the moment of submission; or (b) if ownership cannot be transferred, you hereby grant Qadop a worldwide, irrevocable, non-exclusive, royalty-free, transferable, sub-licensable, and perpetual right and license to use, reproduce, modify, create derivative works from, distribute, adapt, transmit, broadcast, and otherwise communicate, publicly display, and publicly perform such unsolicited creative materials without further notice, attribution, or compensation to you. You further waive any moral rights you may have in such materials.

5.4 We may also make available the ability for users to submit text, images, video, audio or other multimedia content, information or material to our Website or Interactive Services (“Submission”). Any Submission you make must comply with these Terms, in particular our Submission Standards set out in clause 6 below. You and any Submission you make must comply with Qadop’s Code of Conduct (https://www.assembleyourteam.com/legal/code-of-conduct) and any other guidelines for Interactive Services as provided by Qadop from time to time.

5.5 We are not obliged to monitor or moderate the Interactive Services or any Submission. Qadop assumes no responsibility for actively monitoring the Interactive Services for inappropriate Submissions and Qadop disclaims all liability to any Submission. Where we do monitor or moderate Submissions we shall indicate how this is performed and who should be contacted in relation to any Submission of concern to you.

5.6 If at any time Qadop chooses, in its sole discretion, to monitor any of the Interactive Services, Qadop assumes no responsibility for the content of Submissions, no obligation to modify or remove any inappropriate Submissions, and no responsibility for the conduct of the user submitting any Submission. Qadop does not endorse and has no control over the content of Submissions. Submissions are not necessarily reviewed by Qadop prior to posting and do not necessarily reflect the opinions or policies of Qadop. Qadop makes no warranties, express or implied, as to the content of the Submissions or the accuracy and reliability of any Submissions and other materials in the Interactive Services.

5.7 We may restrict, edit or remove any Submission whether they are moderated or not, and may restrict or suspend you from posting Submissions for any reason at any time. We may disclose Submissions or any other communication to users of our Website by you to law enforcement authorities, or take any action we consider necessary to remedy any breach by you of these Terms. You agree that Qadop accepts no liability whatsoever if it prevents your Submissions from being submitted or if it restricts, edits or removes your Submissions.

5.8 Rights and Ownership of Your Submissions: By submitting a Submission, you agree to the following:

  • 5.7.1 Ownership of Qadop-Derived Content: Any element of your Submission that represents, derives from, or is based upon Qadop's intellectual property (for example, our characters, settings, plot, art, design work, sounds, and locations within Qadop games) shall be owned by Qadop. You agree that all rights and interest in such derivative Submission shall vest solely with Qadop. This is to protect Qadop's existing intellectual property and prevent fragmented ownership of content directly based on our games.

  • 5.7.2 License for Other User Content: To the extent that your Submission is not owned by Qadop as outlined in clause 5.7.1 above (e.g., general comments, forum posts, or other original content you submit, excluding unsolicited creative materials subject to clause 5.2.1), you grant Qadop and its affiliates, licensees, and licensors a worldwide, irrevocable, non-exclusive, royalty-free, transferable, sub-licensable, and perpetual right to use, reproduce, modify, create derivative works from, distribute, adapt, transmit, broadcast, and otherwise communicate, publicly display, and publicly perform your Submission without further notice, attribution, or compensation to you. This broad license is necessary for Qadop to operate the Website, display user content, promote the Website and its services, and potentially incorporate relevant user-generated content into future Qadop materials or games (e.g., featuring a compelling user review in marketing).

  • 5.7.3 Waiver of Moral Rights: To the maximum extent permitted by applicable law, you waive and agree not to assert against Qadop or any of its partners, affiliates, subsidiaries, licensors, or licensees, any moral or similar rights you may have in any of your Submission, including but not limited to the right to be identified as the author of the Submission and your right to object to derogatory treatment of the Submission.

  • 5.7.4 Clause 5.7 shall survive termination of any agreement you have with us, including these Terms.

5.8 Each Submission submitted by you is at your own risk and you represent and warrant that you have the full legal right to so use such Submission, and such Submission:

  • 5.8.1 is your original work and lawfully submitted (except for unsolicited creative materials submitted in breach of clause 5.2);

  • 5.8.2 as at the date the Submission is submitted, is factually accurate;

  • 5.8.3 does not breach a confidentiality or contractual restriction;

  • 5.8.4 does not infringe any third party’s intellectual property rights, rights of privacy, publicity rights, or other rights; and

  • 5.8.5 contains nothing defamatory, indecent or otherwise unlawful or which infringes the legal rights of any third party or any other rights.

5.9 You agree to indemnify and hold harmless Qadop and its employees, affiliates, licensors, licensees, contractors and directors from any damages, losses, costs and expenses (including legal fees) arising directly or indirectly from any acts or omissions associated with the publication of or use of any Submission which you create or make available.

5.10 While we try to make sure that this Website is secure, we do not actively monitor or check whether information supplied to us through this Website is confidential, commercially sensitive or valuable.

5.11 Other than any personal information which will be dealt with in accordance with our Privacy Policy, we do not guarantee that information supplied to us through this Website will be kept confidential and we may use it on an unrestricted and free-of-charge basis as we reasonably see fit.

6. User Submissions Standards

6.1 Any Submission (as defined in Section 5.1) and any other communication you make to users of our Website, must conform to standards of accuracy, decency, and lawfulness. Qadop will apply these standards in its reasonable discretion.

6.2 Specifically, your use of the Interactive Services and any Submission or communication from you must:

  • 6.2.1 be your own original work and lawfully submitted;

  • 6.2.2 be factually accurate or your own genuinely held belief;

  • 6.2.3 be provided with the necessary consent of any third party whose rights might be involved;

  • 6.2.4 not infringe the intellectual property rights, privacy rights, publicity rights, or other rights of Qadop, its licensors or any other third party;

  • 6.2.5 not be defamatory, libelous, or likely to give rise to an allegation of defamation;

  • 6.2.6 not be used for commercial purposes, contain advertising, or encourage the buying or selling of services, or making donations, including "spam" or any other form of solicitation or promotion;

  • 6.2.7 not link, directly or indirectly, to any websites that violate the restrictions set out in these Terms, including these User Submission and Communication Standards;

  • 6.2.8 not be illegal, constitute, promote, or encourage a criminal offence, or otherwise give rise to criminal or civil liability for Qadop;

  • 6.2.9 not be deceptive, threatening, abusive, offensive, vulgar, obscene, indecent, pornographic, sexually explicit, disparaging, harassing, harmful, hateful, racially, ethnically, or otherwise objectionable or discriminatory;

  • 6.2.10 not be likely to cause offence, embarrassment, annoyance, disruption, inconvenience, or anxiety to others.

7. Information Security

7.1 Use of this Website may require registration, particularly in order to access restricted areas of this Website such as the Interactive Services.

7.2 We are not obliged to permit anyone to register with this Website and we may refuse, restrict, suspend or terminate registration or access to anyone at any time for legitimate operational, security, or compliance reasons. In particular, we reserve the right to refuse service, restrict, suspend or terminate your account or edit or remove content if you are in breach these Terms, any applicable law, or any other applicable terms and conditions, guidelines or policies. You agree that any refusal, restriction, suspension or termination of your access to this Website, Interactive Services or any account you may have may be carried out without prior notice, and you agree that Qadop shall not be liable to you or any third party for any such refusal, restriction, suspension or termination.

7.3 You are responsible for ensuring that the details you provide us with are correct and complete, and for informing us of any changes to the information you have provided. You must not register with this Website using false or misleading information. You can access and update much of the information you have provided us with, including your account settings, in the My Account area of this Website.

7.4 If we have reason to believe there is likely to be a breach of security or misuse of this Website through your account or the use of your password, we may notify you and require you to change your password, or we may restrict, suspend or terminate your account. You are responsible for making sure that your password and any other account details are kept secure and confidential and you must inform us immediately if you have any reason to believe that your password has become known to anyone else, or if the password is being, or is likely to be used in an unauthorised manner. 17.2 We reserve the right to change, modify, add, or remove portions of these Terms from time to time. Our updated Terms will be displayed on this Website and by continuing to use and access this Website following such changes, you agree to be bound by any variation made by us. It is your responsibility to check these Terms from time to time to verify such variations.

18. Dispute Resolution

18.1 If you have any dispute, complaint, or claim arising out of or relating to these Terms or your use of our services, We will try to resolve any disputes with you quickly and efficiently. You agree to first contact us as soon as possible using the contact details set out at the top of this page. You agree to give us a period of thirty (30) days from your initial contact to attempt to resolve the matter informally.

18.2 If we are unable to resolve the dispute informally within thirty (30) days of your initial contact, you or we may choose to submit the dispute to an independent Alternative Dispute Resolution (“ADR”) provider. ADR is a process for resolving disputes that does not involve going to court. If you do not wish to use ADR, you can still bring court proceedings.

18.3 The laws of England and Wales apply to these Terms. If you are a consumer resident elsewhere, you will retain the benefit of any mandatory protections given to you by the laws of your country of residence. Any disputes will be subject to the non-exclusive jurisdiction of the courts of England, meaning you may also bring proceedings in your home country (such as Scotland, Northern Ireland, or your EU country of residence) if required by local consumer law.
